Announces Private Placement

Spokane, Washington – Matthew Russell, President of Azteca Gold Corp. (the "Company") announces that the Company will undertake a non-brokered private placement of up to $1,500,000. The Company will, subject to regulatory approval, issue units at $0.0525 per unit, with each unit consisting of one common share and one share purchase warrant. Each warrant entitles the holder to purchase one common share for $0.25 for 2 years from closing.
Funds will be used for its final option payment on Guerra al Tirano property and for general working capital. In a show of confidence by management of the Company’s Mexican assets, management insiders will be participating at a minimum of 50%.
